Terms.

By accessing this website or engaging Untitled Summit Ltd for services, you agree to these terms. If you do not agree, please do not use this website or our services.

1. About us

Untitled Summit Ltd is a software development studio registered in England & Wales. References to "we", "us", or "our" refer to Untitled Summit Ltd. References to "you" or "client" refer to any individual or entity engaging our services or using this website.

2. Services

We provide software development, MVP build, architecture consulting, fractional CTO, and related technical services. Specific terms for each engagement are defined in a separate Statement of Work or service agreement issued before work commences. In the event of conflict between these terms and a specific service agreement, the service agreement takes precedence.

3. Payment

Payment terms are set out in each service agreement. Unless otherwise agreed, invoices are due within 14 days of issue. Late payment may incur interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to pause or terminate work on overdue accounts.

4. Intellectual property

Upon receipt of full payment, all custom work product created specifically for a client engagement transfers to the client. We retain ownership of any pre-existing tools, frameworks, or methodologies incorporated into the work. We retain the right to reference the engagement in our portfolio unless explicitly agreed otherwise in writing.

5. Confidentiality

We treat all client information as confidential. We will not disclose client business information, technical details, or non-public data to third parties without explicit written consent, except where required by law. We may use sub-contractors under equivalent confidentiality obligations.

6. Limitation of liability

To the maximum extent permitted by UK law, our total liability to you for any claim arising from our services shall not exceed the fees paid by you for the specific work giving rise to the claim. We are not liable for indirect, incidental, or consequential losses including loss of revenue, loss of data, or business interruption. Nothing in these terms limits liability for death, personal injury, or fraud.

7. Website use

This website is provided for informational purposes. We make no warranties regarding the accuracy, completeness, or availability of the content herein. We reserve the right to modify or discontinue any part of the website without notice.

8. Termination

Either party may terminate a service engagement with written notice as specified in the applicable service agreement. Upon termination, you remain liable for work completed and expenses incurred up to the termination date. We will provide all completed deliverables and reasonable transition assistance.

9. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to these terms

We may update these terms periodically. The date at the top of this page reflects the most recent revision. Continued use of our services following notification of changes constitutes acceptance.
